IMPACT OF THIS ROLE
Provide hands on and ground up legal support to the business units of Rosewood Hotel Group (“RHG”) on a variety of matters, in no small party by independently draft, review and negotiate various vendor, commercial and other contracts. The Legal Counsel will be required to understand and improve internal legal processes, work with stakeholders across varied cultures and legal environments, effectively supervise outside counsel, and coordinate tax, insurance, intellectual property, design and risk management issues within RHG. The Legal Counsel will collaborate closely with senior members across departments and at the property-levels, including Finance, Operations, Development, Commercial, Talent & Culture, Information Technology, Brand, Residential and Design and Project Services. Travel may be required from time to time.
KEY RESPONSIBILITIES
- Handle a variety of and often interrelated commercial corporate and master services/global-level agreements, including drafting, reviewing and negotiating contracts (i.e. general contractor agreements, service agreements, license agreements, vendor agreements, distribution agreements, ecommerce terms and conditions and other types of operational legal documents) on behalf of all business units in RHG, which contracts, both individually and collectively, underly key RHG strategic initiatives globally.
- Develop and upgrade templates/playbooks to establish consistent best practices across RHG.
- Experience in contract lifecycle management platforms is a big plus.
- Provide solution-oriented legal advice to RHG’s corporate team; interpret external legal advice in layman’s terms; and assist in developing strategies to manage legal risks.
- Stay abreast of and advise the company on implementation of compliance with applicable laws.
- Devise and implement policies, procedures and best practices and the corresponding trainings to corporate business units in RHG and property teams.
- Liaise with, instruct, and help supervise external law firms and appropriate external parties.
- Manage corporate governance and secretarial matters (i.e. appointment/resignation of directors, setting up or dissolution of legal entities etc) for RHG and/or its group companies.
- Assist with managing legal and labour & employment claims and disputes, including coordination with insurance, external counsel and internal stakeholders.
- Provide support to other Legal senior colleagues on strategic key initiatives and projects.
CRITICAL SKILLS & QUALIFICATIONS
- Legal qualification and higher education law degree preferably from the E.U., U.K. or a U.S. State or other major common law jurisdiction.
- Professional fluency in both written and spoken English.
- Minimum of 6 years combined (i) post-qualification experience in major law firm and (ii) preferably, in-house experience, secondment included. International experience or exposure is a plus.
- Business-minded with strong commercial sense and process-driven.
- Strong communication, inter-personal and organizational skills. Able to simply communicate complex or technical issues to various audiences.
- Excellent lateral thinking skills and judgement.
- Must have the ability to juggle both substantive, legal operations-related and “administrative” tasks, including helping manage budget and external vendors.
- Must be a self-starter that can work effectively both as a team and individually.
- Able to establish relationships with internal clients, nurture respect and trust, and act with strong sense of integrity and professionalism.
- Sound knowledge in transactional work (e.g., M&A, real estate) and general corporate/commercial law. Solid experience in contracts drafting and negotiation.
- Knowledge and experience in intellectual property/licensing, data privacy and security, retail operations and e-commerce, advertising, as well as technology-related commercial contracts would be a major plus.
- Help coordinate and manage any legal disputes at the corporate and hotel levels.
- Help implement training on RHG’s policies and general best practices.
- Desire to establish trusted business relationships and processes with both internal and external parties.
- Strong analytical and critical thinking skills combined with law-firm level attention to detail and thoroughness.
- Strong drive to carry multiple projects and matters through to successful completion.
